These Terms of Service (“Terms”) govern access to and use of the 8760ai software platform, websites, applications, hardware, and related services (collectively, the “Service”) provided by 8760 Technologies Limited (8760ai).

By accessing or using the Service, you agree to be legally bound by these Terms.

1. Eligibility

You may access and use the Service only if you are legally capable of entering into a binding agreement, either on your own behalf or on behalf of the organization you represent. If you access the Service on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Description of Services

8760ai provides a subscription-based, cloud-hosted software platform designed to support manufacturing 
performance improvement. This includes, but is not limited to, OEE management, connected worker workflows, production analytics, operational insights, and associated tools or use cases.

Use requires the purchase of SaaS subscription, connectivity hardware and professional services as specified in a quotation or commercial agreement.

3. Account Registration and Security

Access to certain features of the Service requires account registration. You agree to:

• Provide accurate, current, and complete information.
• Maintain the confidentiality of login credentials.
• Promptly notify us of any unauthorised access or security breach.
• You are responsible for all activities conducted through your account.

4. SaaS Subscription and One-Off Payments

4.1 Fees

Access to software features, hardware, and professional services is subject to payment of fees as detailed in an official quotation and confirmed by customer purchase order, aligned with pricing published on our website or agreed in writing.

4.2 SaaS Billing and Minimum Term

SaaS subscription fees are billed in advance and renew annually unless otherwise agreed in writing.

Subscription fees are non-refundable once invoiced.

4.3 Hardware and Professional Services

One-off fees for connectivity hardware and professional services are invoiced in advance of supply or delivery.

4.4 Shipping

Hardware will be dispatched from our facilities in the United Kingdom or Spain. Shipping charges will be billed at cost plus 20%.

4.5 Taxes and Tariffs

Customers are responsible for all applicable taxes, duties, tariffs, and similar governmental charges associated with the purchase or use of the Service.

5. Free Trial

8760ai may offer a free trial environment strictly for evaluation and demonstration purposes.

• Trial environments:
• Are not connected to live production systems
• May provide limited functionality
• May contain simulated or sample data

We reserve the right to modify, restrict, or discontinue trial access at any time without notice.

6. Acceptable Use

You agree not to:

• Reverse engineer, copy, modify, distribute, or create derivative works of the Service.
• Use the Service for unlawful or unauthorised purposes.
• Interfere with system security, integrity, or performance.
• Introduce malicious code or harmful content.
• Access or attempt to access data belonging to other customers.

Violation of this section may result in suspension or termination of access.

7. Customer Data

7.1 Ownership

Customers retain all ownership rights to data uploaded to or generated within the Service (“Customer Data”).

7.2 License to Process

Customers grant 8760ai a limited, non-exclusive license to process Customer Data solely for the purpose of 
delivering, maintaining, and improving the Service.

7.3 Data Security

We implement commercially reasonable technical and organizational measures to protect Customer Data. However, no system can guarantee absolute security.

8. Intellectual Property

All intellectual property rights in the Service, including software, documentation, trademarks, branding, and 
content, remain the exclusive property of 8760 Technologies Limited and its licensors. No rights are granted 
except those expressly stated in these Terms.

9. Confidentiality

Each party agrees to maintain the confidentiality of non-public information disclosed in connection with the Service and to use such information solely for the purposes of fulfilling obligations under these Terms.

10. Third-Party Services

The Service may integrate with third-party systems such as ERP platforms, IoT devices, or external software applications. 8760ai is not responsible for the availability, performance, or policies of third-party services.

11. Service Availability

While we aim to maintain high service availability, we do not guarantee uninterrupted or error-free operation. Scheduled maintenance, updates, or unforeseen technical issues may result in temporary service interruptions.

12. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, 8760ai 
disclaims all warranties, whether express or implied, including but not limited to:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or reliability of results

13. Limitation of Liability

To the maximum extent permitted by law 8760ai shall not be liable for any indirect, incidental, special, 
consequential, or punitive damages. Total aggregate liability arising out of or related to the Service shall not 
exceed the fees paid by the Customer in the twelve (12) months preceding the event giving rise to the claim.

14. Indemnification

You agree to indemnify and hold harmless 8760 Technologies Limited from any claims, damages, losses, or 
expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your infringement of third-party rights

15. Termination

15.1 Termination by Customer

Customers may terminate their subscription in accordance with their commercial agreement by providing written notice at least sixty (60) days prior to renewal.

15.2 Termination by Company

We may suspend or terminate access to the Service if you breach these Terms or fail to make required payments.

Upon termination, access to the Service will cease. Customer Data retention and deletion will be handled in accordance with the applicable data policy or agreement.

16. Modifications to Terms

We may revise these Terms from time to time. Continued use of the Service after updated Terms are published constitutes acceptance of the revised Terms.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without
regard to conflict of law principles.
